BVI Business Company Limited by Shares
- The principal BVI structure for private ownership, holding, investment, joint ventures, financing and international corporate activity. It must have at least one shareholder and one director.
Holding Company Use
- A BVI Business Company may hold shares in operating companies, subsidiaries, investments or other entities within an international group.
Special-Purpose Vehicle Use
- A dedicated BVI Business Company may be established for a specific acquisition, investment, financing, joint venture, asset or ring-fenced transaction.
VISTA Trust Structuring
- A VISTA trust may hold shares in a BVI Business Company for succession planning, ownership continuity and long-term family governance, subject to specialist advice.

Ongoing BVI Company Requirements
A BVI company must maintain a registered agent and comply with its applicable corporate-record, renewal, ownership, and filing requirements.
Subject to statutory exemptions, a BVI company must submit an annual financial return to its registered agent within nine months after the end of its financial year.
BVI Business Companies and applicable Limited Partnerships are required to file and maintain beneficial-ownership information with the Registry of Corporate Affairs through the VIRRGIN system. These filings are ordinarily completed through the entity’s registered agent.
